Profile

Andrew is Head of the Corporate Team.  He is experienced in all aspects of corporate and commercial law, from share and asset sales, MBOs, private equity investment and shareholder agreements to general constitutional matters, EMI schemes, banking, restructuring and insolvency.

Andrew has advised clients across a number of sectors, including healthcare (veterinary, pharmacy, social care and dental), IT, security, property development and retail.  He works with entrepreneurs, owner-managers, SMEs, large corporates, banks, LLPs, partnerships and individuals.

Andrew has particular expertise in the veterinary sector, having acted for one of the largest veterinary Corporates for a number of years at a previous firm.  He has completed a number of high-profile deals in that area, acting mostly for sellers of late and also advises on practice start-ups and shareholder matters.

Andrew began his legal career with Freshfields Bruckhaus Deringer and Baker & McKenzie in London before practising in leading regional firms in Kent and Sussex.

Experience

  • Advising one of the largest IT Support and Consultancy providers in the UK on the design and implementation of a new EMI Share Option Plan.
  • Acting for a large privately owned Care Home Group in the South East on three Care Home acquisitions across the region.
  • Advising large Digital Transformation Partner on the implementation of a Management Equity Plan.
  • Advising the shareholders of a ‘companion animal’ veterinary practice on the £ 7 million sale of their company to a large veterinary corporate in the UK.
  • Advising the Partners of a ‘companion animal’ veterinary group on the £ 6.5 million sale of their practice to a large veterinary corporate in the UK.
  • Acting for the owners of an equine veterinary practice on their partial exit ahead of retirement.
  • Acting for various high net-worth individuals on the formation of Family Investment Company structures for family estate planning purposes.
  • Acting for the shareholder of a long-standing family-run funeral directors on the sale to a large corporate group in the South East.
  • Acting for Rebiere Holdings Ltd on its acquisition of Hogben & Partis Funeral Directors.
  • Acting for the shareholders of Jackson Partnership Ltd on the sale of their company to GHG Claim and Risk Solutions.
  • Advising the family of a property-investment business on the demerger of the core business so as to give effect to an equal split between siblings ahead of retirement.
  • Acting for one of the largest mobile security companies in the UK on its acquisition of a controlling interest in a full-service, outsourced security solutions provider.
  • Acting for Tech startup company, Mindspire Limited, on an investment round to continue funding the development of its wearable bioelectronic earpiece, which de-codes and treats stress.
