Warners advises PR company on merger
A merger of two public relations businesses was handled by Kevin Sullivan
Kevin acted for Broadgate Marketing Limited, now Broadgate Mainland Limited, in its merger with Mainland Public Relations Limited. Both companies are public relation agencies in the City of London, specialising in the financial and professional service industries.
Kevin commented “The shareholders of Mainland Public Relations Limited sold their shares to Broadgate Marketing Limited in consideration for the issue of shares to them in Broadgate Marketing Limited with Neil Mainland, the majority seller, also becoming a director of Broadgate Marketing Limited. The name of the company was immediately changed to Broadgate Mainland Limited. The transaction proceeded quickly and it was a relatively easy and friendly transaction with the parties working together closely, as you would expect given that they will now be working together.”
Roland Cross, founder of Broadgate, says “We have enjoyed a long association with Warners and the key aspect on this transaction was that Warners drafted a legal contract that allowed both parties to complete the deal swiftly and efficiently without undue wrangling over the contract.”
