The disposal of a long established business of building material suppliers for approximately £2 million was led by Patrick Smith, who was assisted by Russell Brinkhurst. Bill Wass handled the Commercial Property related aspects of the deal.
The transaction involved the sale of two companies to a well known national chain. Both of the companies being sold had a number of minority family shareholders. Carve outs from both the post completion restrictions and the warranty liabilities which the buyer was seeking were heavily negotiated. Warners commercial property team primarily dealt with the disposal of freehold premises as part of the transaction and the granting of a new lease to the buyer in respect of premises to be retained by the sellers post completion of the sale.
